Re: My Legal Opinion With Respect to Promoted Securities of Plasticon International, Inc.

Dear Ms. Heese:

Plasticon International, Inc., a Wyoming corporation ("PLNI or the 'issuer"), has requested the undersigned to render a legal opinion to the effect that adequate current public information is available concerning the Issuer and its securities so as to permit quotations of the issuer's securities on the Pink Sheets quotation venue (www.Pinksheets.com).

1. Compliance With Section 17(b) and Reliance on Legal Opinion by Pink Sheets: It is my opinion as follows:

(i) the Issuer's securities (the 'Securities") have been the subject of certain publications, publicity, circulations or communications (within the meaning of Section 17(b) of the Securities Act of 1933 (the "Securities Act'), but neither the Issuer or any of its affiliates have paid or promised any consideration to any person for such activities, and

(ii) Pink Sheets is entitled to rely on my opinion in determining whether to permit quotations in the Issuer's securities in the Pink Sheets quotation venue.

2. Purpose of Retaining Counsel: The undersigned has been retained by the Issuer for the purpose of rendering this opinion and related matters.

3. Examination of Documents and Questions of Law: I have examined such corporate records and other documents and such questions of law that I considered necessary or appropriate for purposes of rendering this opinion.

4. Jurisdiction Where Counsel is Authorized to Practice Law: I am licensed to practice law in the State of California and before the United States District Court and Courts of Appeal and the United States Supreme Court.

5. Counsel is Permitted to Practice before the SEC: I am also permitted to practice before the Securities and Exchange Commission (the "SEC") and I have not been prohibited from practice thereunder.

6. Reliance on Information as to Matters of Fact: As to matters of fact, I have relied on information from public officials, officers of the Issuer and other sources and in each instance, I believe that all such sources are reliable.

7. Availability of Adequate Public Information: It is my opinion that,

(i) adequate current public information is available concerning the Securities (the "Information") within the meaning of Rule 144(c)(2) under the Securities Act,

(ii) the Information includes all of the information that a broker-dealer would be required to obtain from the Issuer to publish a quotation for the Securities under Rule 15c2-11 under the Securities Exchange Act of 1934 (the "Exchange Act"),

(iii) the Information complies in all material respects with the Pink Sheets Guidelines for Providing Adequate Current Information Pursuant to Rule 15c2-11 which are located on the Internet at www.pinksheets.com/otcguide/discfosure guidelines.ocf, and

(iii)[sic] the Information has been posted on the Pink Sheets News Service.

8. Counsel's Inquiry of Directors and Officers of the Issuer and Other Persons: I have made specific inquiry of all of the directors and officers of the issuer, persons engaged in promotional activities regarding the Issuer, and persons owning more than ten percent (10%) of the Securities (collectively, the "insiders"), and based upon such inquiries and other information available to counsel, any sales of the Securities by Insiders within the twelve-month period prior to the opinion have been made in compliance with Rule 144, including, without limitation, any required filings of Form 144, and nothing has come to my attention indicating that any of the Insiders is in possession of any material non¬public information regarding the Issuer or the Securities that would prohibit any of them from buying or selling the Securities under Rules 10b-5 or 10b5-1 under the Exchange Act.

9. Reliance On and Use of Opinion by Pink Sheets: With respect to this opinion, no person other than Pink Sheets is entitled to rely on it. Pink Sheets is further granted full and complete permission to publish this opinion on the Pink Sheets News Service for viewing by the public and regulators.

10. No Current Investigation of issuer by Regulatory Authorities: To the best of my knowledge, the issuer of the Securities, nor any holder or counsel, is currently under investigation by any federal or state regulatory authority for any violation of federal or states securities laws.
