Brooks says shareholders sue over stock options Wed May 31, 2006 5:54 PM ET LOS ANGELES, May 31 (Reuters) - Microchip industry equipment maker Brooks Automation Inc. (BRKS.O: Quote, Profile, Research) on Wednesday said it faces a shareholder lawsuit in connection to its prior stock option grant practices. Brooks said the lawsuit was filed in the Superior Court of the Commonwealth of Massachusetts on May 23 and names the company and certain directors and former directors as defendants. Shareholders, who are bringing the lawsuit on the company's behalf, allege breaches of fiduciary duties and unjust enrichment in connection with certain prior stock option grant practices. The company said earlier this month that it had received a subpoena from federal prosecutors relating to the granting of stock options.
