Montgomery Securities Settles Nasdaq Market Maker Litigation For $20 Million

THURSDAY, AUGUST 7, 1997 - SAN FRANCISCO, CA - Montgomery Securities confirmed today that it has settled
the NASDAQ market-makers antitrust litigation (MDL No. 1023) for $20 million.

Montgomery firmly believes it is not liable for the claims made in the litigation and the firm was not sued by the Department of
Justice in this matter. However, Montgomery settled the case to avoid costly and distracting litigation. The settlement will have
no impact on the planned merger with NationsBank.

The antitrust litigation was brought against 30 defendants of which 6 have now settled.
