Expertise can be bought, happens all the time. There are lots of people cut loose when fabs are idled, locating where this is about to happen is a great way to pick up expertise. Most of those people aren't going to want to relocate, so they can be snapped up. VIA, in particular, has access to a lot of this, they had an opportunity to buy a functional fab when they bought most of SiS. They passed because the costs of owning a fab exceeded the value of having one.
