I believe it is not supposed to happen that way. I think the piece by Shapiro goes into it.

The theory is that there should be no more shorting than the float.

Quite frankly, it would be interesting to see what the intent of the regulators is in this area. If it worked the way the article claims, there really is no need for certificates. The fiction of eletronic shares at the DTCC would just be used to "pretend" that every deal settles and that there is no failure to settle.

The fact that we are seeing more votes than shares shows that this is not what is happening. Now add in the 30% of more that doesn't vote and you can see that there is a problem.
