Crandell Addington, age 67, is Chairman of the Board of Directors of Gold Reef. He is a cum laude graduate from the Southwestern University, Georgetown, Texas, majoring in economics and accounting. Mr. Addington received post-graduate education in various sciences at the Trinity University, San Antonio, Texas. Mr. Addington has, over the course of 40 years, founded and/or operated successful enterprises ranging from chemical manufacturing to oil and gas exploration, development, and production. Mr. Addington is currently President, Chief Executive Officer and Chairman of Phoenix Biotechnology Inc. He is also President and Chairman of Anviram, Inc. As a result of his prior and current corporate leadership positions, Mr. Addington has been responsible, among other duties, for interacting with biomedical researchers and clinicians both in the United States and Latin America.
Lou Kost, Jr., age 62, is Secretary and Director of Gold Reef. He attended the University of Texas at Austin and St. Mary’s University in San Antonio, Texas, where he studied marketing and financial management. Mr. Kost has been at various times a venture capitalist and management consultant. Mr. Kost is a former Texas state representative who served on the Banking Committee. Mr. Kost is currently Secretary and Director of Anviram, Inc. Among other duties, Mr. Kost is responsible for interacting with the governmental agencies in Latin America on behalf of Phoenix Biotechnology Inc. OMG Mineral Exploration, Inc. entered into a share exchange agreement dated March 22, 2006 with Gold Reef of Nevada, Inc. and ancillary share subscription agreements with the shareholders of Gold Reef of Nevada, Inc. The Share Exchange Agreement, subject to the fulfillment of its terms and conditions, provided that OMG Mineral Exploration, Inc., the predecessor of the company would purchase, on the closing date, all of the issued and outstanding common shares in the capital of Gold Reef (the “Gold Reef Shares”), free and clear of all liens, charges and encumbrances. The consideration to be paid by the Company for the Gold Reef Shares shall be 29,191,376 Consideration Shares and shall be apportioned pro rata among the shareholders of Gold Reef. At the shareholders meeting held on May 8, 2006, the shareholders of OMG Mineral Exploration, Inc. approved the acquisition and the name change to Gold Reef International, Inc.
Gold Reef was incorporated pursuant to Nevada Revised Statutes, Chapter 78 (NRS 78) by Articles of Incorporation on February 12, 2004. By Articles of Amendment dated August 9, 2004, the authorized capital of Gold Reef was increased from 15 shares of no par value to 17,000,000 shares of no par value which contains namely, 15,000,000 common shares and 2,000,000 preferred shares. Gold Reef was issued a Certificate of Authority on March 9, 2004 from the Office of the Secretary of State of Texas to transact business in Texas. By Amended and Restated Articles of Incorporation dated January 27, 2005, which, among other things, the company sets out provisions of its common shares and preferred shares.
Gold Reef has accumulated a large number of mining claims in the State of Nevada and has been evaluating multiple precious metals prospects in 2004 and 2005 as an outgrowth of an exploration program performed in 2002. Gold Reef retained Marston & Marston, an independent worldwide engineering and consulting firm, to conduct the exploration programs. Marston's 2004 assignment involved literature searches, land ownership analysis, reconnaissance sampling programs, preliminary geologic mapping and claim staking. Results were sufficiently encouraging to continue the field investigations in 2005. Followup evaluation in 2005 included detailed mapping and sampling on seven prospects, followed by staking lode mining claims on five areas, which demonstrate widespread gold and pathfinder elements typically associated with Carlin and Cortez style deposits. NI 43-101 compliant geologic reports have been independently prepared on the Golden Trail Prospect and the Texas Canyon Prospect. Gold Reef intends to conduct additional exploration in 2006 over other areas where results were anomalous in gold and pathfinder elements over large areas and produce NI 43-101 compliant reports.
John F. O’Donnell, age 59, is the President, Chief Executive Officer and a Director of the Company. He will be responsible for the overall direction, administration and management of the Company. Mr. O’Donnell obtained a Bachelor of Arts (Economics) and a Bachelor of Laws from the University of Windsor. He has practised law in the City of Toronto since 1973. From 1995 to September 2003, he was counsel to Shibley Righton LLP. His practice is primarily in the field of corporate and securities law and, as such, he is and has been counsel to several publicly traded companies, including mineral exploration companies. Mr. O’Donnell has been a director of Grenville Gold Corporation since December 2002. Mr. O’Donnell was a director of spyn corporation from February 3, 1995 until January 14, 2003 (formerly The O’Donnell Group Inc. of which Mr. O’Donnell was the President prior to the completion of a share exchange agreement in February, 2001). Subsequent to Mr. O’Donnell’s resignation as a director of spyn corporation, it ceased carrying on business. Mr. O’Donnell was a director and President of Pinewest Resources Inc. from September 1998 until January 2001 when the company acquired DWX Canada Inc. and DataWorx Systems, Inc. and changed its name to Arcamatrix Corporation. Mr. O’Donnell will devote approximately 10% of his time to the affairs of the Company.
Maxwell A. Polinsky, age 48, is a director and principal of Venbanc, Inc., an investment and merchant bank located in Winnipeg, Manitoba, Canada that he founded with a partner in 1994. Venbanc, Inc. specialises in the structuring and financing of start-up companies and provides follow-up financial and management advisory assistance. It has successfully funded and taken public several companies in Canada and the United States in the past ten years. Prior to this, Mr. Polinsky was the general manager of City Machinery Ltd., a nationwide power transmission parts distributor with offices across Canada. He began his career as a stockbroker at Canarim Investment Corp. (now Canaccord Capital) in 1982. Mr. Polinsky graduated with honours from the University of Manitoba with a degree in Business Administration, Finance Major. Mr. Polinsky has served as a director of XPEL Technologies Corp. since its formation in October 2003. Mr. Polinsky is also a director of Nighthawk Systems Inc. Mr. Polinsky will devote approximately 15% of his time to the affairs of the Company.
William L. Shaffer, age 63, is a director of Gold Reef. He has more than 29 years experience in the mining industry with specific expertise in financing, planning and operation of gold placer deposits and managing coal exploration projects. Mr. Shaffer is part owner and manager of one of Alaska’s largest, long-term placer gold mining operations. He provides geological consulting services for precious metals deposits on client projects in Nevada and Arizona. He acts as field manager on coal and lignite drilling programs in the western USA His recent projects include the supervision of a geochemical sampling program on precious metals exploration project in northern Nevada and claim staking supervision. Mr. Shaffer obtained a Master of Science (Geology) from the University of New Mexico in 1971 and a Bachelor of Science (Geologic Engineering) in the University of Minnesota in 1964. Mr. Shaffer is a member of The American Institute of Mining, Metallurgical, and Petroleum Engineers. Mr. Shaffer served in the US Air Force from 1964 to 1968. Mr. Shaffer will devote less than 5% of his time to the affairs of the Company.
Bryan A. MacBride, age 62, is a director of Gold Reef. He is an independent lawyer in general practice in the City of Toronto. Mr. MacBride was an officer and director of Cabot Creek Mineral Corporation from October 1995 to December, 1997 and a director of The O’Donnell Group Inc. (now spyn corporation) from June 1998 to January 2001. Subsequent to Mr. MacBride’s resignation as a director of those issuers, they ceased carrying on business. Mr. MacBride will devote less than 5% of his time to the affairs of the Company.
Clifford A. Wiebe, age 47, is a director of Gold Reef. He has diplomas in Business Administration and Computer Analyst Programmer. Mr. Wiebe has been in the information technology industry for over 22 years, the last eleven with IBM Canada. His role as Business Consultant takes him across the country identifying problem trends and pitfalls and putting corrective plans in place with an emphasis on profitability and customer satisfaction. Mr. Wiebe will devote less than 5% of his time to the affairs of the Company.

Dr. Sadik M. Al-bassam, age 57, is a Director of Gold Reef. He received his undergraduate degree from Kuwait University majoring in Accounting in 1971. He received his MBA from Indiana University - Bloomington, Indiana in 1975 and received his PhD in Accounting and Business from University of Texas at Austin in 1980. He joined the faculty of Kuwait University, Accounting Department in 1980. He became the Chairperson of the department from 1981 to 1986, and the Dean of College of Commerce Economics and Political Science from 1991 to 1995. He served as a director on the boards of directors of many investments and financing companies traded in the Kuwait Stock Market. He also served as a general manager of Bank of Bahrain and Kuwait - Kuwait Branch for a year in 1986/87. Dr. Al-bassam, as an associate professor, is the author of scholarly publications in Local and International Journals. He also published a few books in Accounting in Arabic language. Dr. Al-bassam is a Kuwaiti CPA with international representation. He presently serves as the Chairperson of the Accounting Department at the College of Business Administration in Kuwait University. |
