I believe the Atari shareholders controlled over half the stock of the combined company. Realistically IMO it was Atari taking over JTS after having decided to use its remaining assets to support JTS in developing its disk products rather than the failed Jaguar. JTS's management team remained in charge while gaining access to considerable cash, probably tax losses and possiblly some patents etc.

I'm not an accountant but do not believe tax losses of the size in $$$ that Atari had accumulated would be surrendered carelessly if the laws allowed them to be transferred somehow..

Is this a question a company would answer or make knowsn in its financial statements?
