International Brands, Inc. Declares a Stock Price Appreciation Right Dividend
SAN DIEGO--(BUSINESS WIRE)--Sept. 26, 1997--International Brands, Inc., is the new name of Stella Bella Corporation USA (OTCBB Symbol ``AMSB'').
The announcement was made after a Special Meeting of the Board of Directors by International Brands, Inc., Director and President, Robert W. Marsik.
As part of this name change action the Board also declared a dividend of one ``Stock Price Appreciation Right,'' payable to common stockholder as of record, at the close of business, October 24, 1997.
On September 25, 1997, the Company's closing Bid price was $18. The ``Stock Price Appreciation Right,'' guarantees to the stockholder that if the Common Stock of the Company does not have a four week average market ``Bid'' value of $54 per share during some 60 day period and prior to two years after September 25, 1997, then the Company shall issue enough additional investment common shares, to the shareholder, to make him whole on the difference between the then current four week average market ``Bid'' price and the $54 guaranteed appreciation price.
The Stock Appreciation Right dividend was declared by the Board as a way to say ``thank you'' to the many hundreds of shareholders of the Company, who have had the faith to hold on to their shares despite the many ups and downs the Company's stock price has suffered.
The Stock Appreciation Right is fully described in the Board's resolution creating the right and is available to any shareholder who requests a copy.
International Brands, Inc., will be a holding company, which conducts its business through operating subsidiaries. Stella Bella Gourmet Coffee roasting and distributing will continue to be operated through a subsidiary.

Expanding Product Line Prompts Stella Bella Corporation, USA to Change Company Name to "International Brands, Inc."
SAN DIEGO, CA (September 26, 1997) - Stella Bella Corporation, USA (OTCBB Symbol ``AMSB''), a fast-growth food, beverage and retail company, has announced that the Company will change its name from Stella Bella Corporation, USA, to ``International Brands, Inc.'' The newly-named company, ``International Brands, Inc.,'' will continue to market gourmet coffee and introduce new products under the Stella Bella brand name.
The new name will better reflect the company's long-term strategy to build shareholder value through acquisition of other brand name products and expanding the company's product line. The company will also continue to build the brand equity of the Stella Bella's products and plans to introduce gourmet line of Stella Bella canned soups, pastas and meat entrees. The company has recently signed a private label agreement with a Belgian chocolate company to produce the new line of Stella Bella gourmet chocolates.
Stella Bella has already established brand recognition in California and other important emerging international markets, where Stella Bella coffee has established strong brand equity, and is introducing other food, beverage and consumer products under the Stella Bella label. Stella Bella has recently expanded their distribution through A-1 International into 30 Albertson's stores in Arizona. The company anticipates expanding into Albertson's stores in Idaho, within the next month.
IBI plans on introducing an innovative new product, Vitamin-C Enriched Coffee, under the Stella Bella brand name, as well as a reduced acidity/reduced caffeine coffee in response to consumer demand for more healthful products. Stella Bella is about to enter the lucrative canned coffee market, by introducing a canned iced coffee cappuccino beverage and is developing an espresso soda, coffee cola as well as a children's Vitamin-C enriched chocolate milk.
International Brands, Inc., will also develop franchising concepts such as theme restaurants. The company plans to capitalize on anticipated fast growth by selling their products through established domestic and international distributors in existing distribution pipelines.
