In retrospect the Dean Witter merger with Morgan has changed the ground rules for the Morgan Corporate Finance biz. The "old" independent Morgan Corporate Finance guys would have never allowed an analyst to release a two step downgrade for an important client that they just completed a major financing for. The world has definitely changed as far as the Morgan Stanley name is concerned.
