I purchased the 10K of MRKL.
I did not do it because of the dividend. I did it because:
1. MRKL's cash position(not including TCNH) - Note that TCNH has had to pay MRKL several million dollars.
2. MRKL's own assets not including TCNH
3. Since 2005 of TCNH has now been restated and annual report as of
06/30/2006 is completed, I feel the SEC reports of MRKL will be done some time in the near future & will be back on the OTCBB.
4. TCNH outstanding shares of 16,241,633 with float of 2,764,256
A. After dividend of 2,500,000 shares, MRKL will own 67.5% of TCNH
or a value at 1.80 of $19,759,278
B. If the 4,640,192 shares of TCNH owned by MRKL is used to satisfy
the Series E preferred shares
***(1) MRKL will still own 39% or a value of $11,401,165 at 1.80
***(2) This will eliminate MRKL's debt
5. Once MRKL owns less than 50%, they will carry the $11,401,165 as
an asset. Since they now own greater than 50% of TCNH, MRKL has to
show TCNH's revenues, losses & debt on their balance statement.
Not bad for a $.007 share price. I own 2,190,000 shares and will be patient.
