Because the Communications Act of 1934 says so.

Why does it matter when the merger gets approved? The public will not get as good a deal as AT&T is currently offering?

The FCC is charged with reviewing relevant issues with respect to the Communications Act. Like the tax code, change is always happening to the Communications Act.
