I've often posted that the capital structure is the key to making money in this market. However, the business plan, and its implementation, is important in creating interest. The key IMO is valuing the business potential, realisticially, and then figuring out the likely capital structure after payment for the business plan.

As for the Regdex - I may be wrong and I haven't looked at this in a long time, but I believe they file w/i a short period of time (15 days)after putting the shares up for sale. Again, I might be wrong but I don't think it lists the actual sales or what the discount is, if any, or other terms. It may list the lowest possible sale price, but often the sale price tracks the publicly trading shares, moving up if the share price moves up, etc. I've seen cases where they list a low sale price such as .001 and then sell the shares much higher depending on the market.

We need to get a report on what is actually issued and those are typically listed in the quarterly filings.

Reg D Companies selling securities in reliance on a Regulation D exemption or a Section 4(6) exemption from the registration provisions of the '33 Act must file a Form D as notice of such a sale. The form must be filed no later than 15 days after the first sale. The exact form type is usually REGDEX, but may be a REG D-1 or similar.
