As I hope you know, S-8s used to be issued directly to promoters, but in the guise of hiring a "consultant". The SEC cracked down on this so now penny stocks circumvent this law by simply issuing S-8s to trusted shareholders who then pass the shares on to promoters. So just like you advise penny stock investors to assume all penny stocks are scams, you should advise them to assume S-8s are for stock promotion. No, not a smoking gun, just merely a bright red flag. And pointing out that someone who routinely plays penny stocks may be ignorant for not realizing this is an educated opinion, not a personal attack.
