October 1, 1997: Acquires Cooling Tower Company In Spain

United Dominion Industries Ltd. announced the acquisition of Torraval S.A., a manufacturer of cooling towers for
HVAC and industrial markets located in Bilbao, Spain. Terms of the transaction were not disclosed.

Torraval was purchased from Alfa-Laval Holding A.B. of Sweden and has annual sales of $4.8 million. It
represents a product line addition for United Dominion's Marley Cooling Tower business unit, a world leader in
cooling tower design. Torraval produces fiberglass-packaged units and is the largest package cooling tower
manufacturer in Spain.

"This acquisition complements the Marley Cooling Tower product line and strengthens its position in Europe where
we recently have purchased similar businesses for Marley in England and Italy," William R. Holland, chairman and
chief executive officer.

"The transaction also is part of United Dominion's top line growth and international expansion strategies." United
Dominion manufactures proprietary engineered products for customers worldwide. The company employs 10,500
people at 68 plants in 16 countries.
