The value of Amati does not lie in its tiny current sales but in its expected future sales. With its old Icot business and a few trial modems Amati would not be worth a 400 million market cap unless a bright future could reasonably be expected.

This means in plain english that Amati will contribute its fair share of sales and earnings to the combined company in the next year.
