In order to complete the company's acquisition of the remaining 50%
interest of The Conac Group Inc, shareholders of the company approved on
August 15 1997 to alter the authorized capital of the company by
consolidating all of the 100,000,000 shares without par value of which
13,164,571 shares are issued and outstanding, into 33,333,333 shares
without par value of which 4,388,190 shares would be issued and
outstanding, every three such shares without par value being consolidated
into one share without par value and to increase the share capital of the
company from 33,333,333 shares without par value to 100,000,000 shares
without par value.
The Conac Group Inc is a company that develops, markets and supports fully
integrated construction and financial management software.
The shareholders at the meeting scheduled on October 31 1997 will be
requested to approve the said acquisition of The Conac Group Inc.
