Bruce,

Hope all is well with you and yours. The deal has changed a little, here
are the details.

TMM and AMCI have agreed on a 2 million dollar price tag. TMM will
issue AMCI shareholders 4 million shares of TMM preferred series A
stock. TMM will have the right to buy this stock back anytime in the first year
of MOU signing. (With 10% interest) If TMM elects not to buy back the shares
the preferred reverts to common shares at 8:1 ratio. I have been arguing both sides
and it's hard to negotiate with yourself. This deal is the best win win for all and
needs no expanded shares. We still need to increase the shares to retire debt and
take the wait off TMM. I will continue to come on and answer questions but I
have left company information in the hands of Larry P. And David E. As we
start spinning up many projects I must be careful what I say, some times I'm
to honest for my own good and don't want it to effect TMM's MAJOR COMEBACK.
