TMM and AMCI have agreed on a 2 million dollar price tag. TMM will issue AMCI shareholders 4 million shares of TMM preferred series A stock. TMM will have the right to buy this stock back anytime in the first year of MOU signing. (With 10% interest) If TMM elects not to buy back the shares the preferred reverts to common shares at 8:1 ratio.

The part that I don't understand is the "after first year option" of preferred shares converting to common shares at 8:1 ratio. Doesn't this mean that TMMI will infact need to "expand" some shares in order to accomplish this or am I missing what "expanding shares" mean???

To me.... expanding shares means that "let's say" we have 100 million shares authorized and these are all accounted for already.... we need to "expand" or dilute the stock by authorizing more shares. (Which sounds exactly like what we are doing... or at least would need to do???) I'm not saying this is a bad thing considering the fact that we are actually starting to apparently move forward... but... there are many unknowns that could still pop up and affect us common shareholders. I'm sure I will receive comments about not bringing up negative ideas in this forum... but.... the more I understand and the more that continues to be done in the shareholders interest (as Tom has continued to accomplish)... the more I will feel confident that TMMI is finally looking out for the good of the many instead of the good of the chosen few.
