Each unit will comprise one common share and one common share purchase warrant. Each warrant will entitle the holder to purchase one-half of a share for a period of two years at an exercise price of 75 cents per share. The proceeds of the private placement will be used toward the Chinese joint-venture and general corporate working capital. In connection with the private placement, the company has agreed to pay fees and commissions in accordance with the policies of the TSX Venture Exchange.
