Today CDRD filed a S4A with the SEC detailing the new preferred stock, and the exchange of the existing preferred. This was probably the reason for the action today. The S4 does note that the consent of the common and preferred holders must be obtained first. Since consent is clearly in the interest of the shareholders, it seems very likely they will get it.
