Yes, I guess all those jokes about Canada being the 51st state really irks Canadian regulators. Seriously, I think they would much prefer to see US investors not invest in Canada. US investors often can't participate in special corporate actions (rights offerings, dividend reinvest, etc) and sometimes are restricted from having too large a % ownership of a security. Regulators probably are interested in protecting US shareholders who they don't want anyway.
