NBSC-I must have named a dozen possible different acquiring companies over the years. I never mentioned Eppendorf BWDIC now. I would care however if Fisher Scientific cares. I'll hang for the cash.

Eppendorf To Acquire New Brunswick Scientific For $110Mln [NBSC]

7/11/2007 9:28:28 AM Wednesday, New Brunswick Scientific Co., Inc. (NBSC) announced that it has entered into a merger agreement to be acquired for about $110 million by Germany-based Eppendorf group, a supplier of systems and research tools for the biotechnology industry.

According to the terms of the agreement, Eppendorf, besides acquiring all the outstanding common stock of New Brunswick Scientific for $11.50 per share will also settle all the outstanding stock options of the company for cash.

The New Brunswick Scientific board, which has unanimously approved the merger, has also recommended that shareholders approve the merger agreement. David Freedman, co-founder and chairman of New Brunswick Scientific, other Freedman family members and certain members of the executive management and board of directors of New Brunswick Scientific, representing nearly 26% of the currently outstanding shares have agreed to vote their shares in support of the merger.

The closure of the transaction is subject to customary closing conditions and approval of the New Brunswick Scientific shareholders.

The transaction is expected to be wrapped up sometime during the third quarter of 2007 and on completion of the transaction, New Brunswick Scientific, which manufactures advanced laboratory equipment, will become a wholly owned subsidiary of Eppendorf and its common stock will no longer be publicly traded. Eppendorf expects to operate New Brunswick Scientific as a Center of Excellence as part of its international activities, following the merger.

NBSC closed Tuesday's regular trading session at $8.03.
