I think the important things GTE gives AT&T is 1) some security through their embedded base of local customers, 2) some operational and billing solutions 3) strong local data networking presence and expertise 4) and close to a national footprint.

AT&T brings a nice brand and customer sat record.

I am not so sure either company has a vison nor the management ability to create a 21st century telecom company.

I think that GTE has it's shit together and is in a much better position for the long haul and I think both GTE and ATT realize this. I personally believe you must own the network. The whole concept of being a brand company and reseller of all services seems completely ludicrous, insane, and short sighted. That zeglis clown should be shot with the rest of the board. Even the notion that Boob allen and his board recomend anyone is enough for me to think twice about their nominee.

Bottom line is that AT&T needs GTE more than GTE needing ATT and that any deal would have to enhance the immediate value to GTE shareholders by at least 20-30% over current levels.
