If this thing becomes truly serious and lawyers start attaching SWG's assets, then I can guarantee that the whole ZNC transaction will be well scrutinized:

This could represent what in the USA would be called a fraudulent transfer of assets. In other words, IF SWG knew or should have known, that they were going to be seriously financially liable for the Boka debacle, then the whole spin off could be viewed as simply a fraudulent attempt to shield assets from future creditors (ie winners of future SWG lawsuits).

Not a lawyer, but the whole business looks rotten to me.
