I had the same question and asked Roland Breton about it today. He told me that the shares were being issued to an outside investor who is providing the $5MM. I think Rocky Mt. has been working on getting this cash for a while and needed to be a publicly trading co. to make it work. That was one of their incentives for the merger. Please be aware that the shares are still 144 restricted and therefore do not threaten the squeeze.
