If I read this statement correctly, Ovis will issue 2.5mil in stock
in lieu(instead) of 5mil. Ovis is paying an additional 2.5mil in stock to Rocky. I believe the stock is going to the company and not to shareholders. The 21+mil in assets of the new Rocky include 5mil in Ovis shares.

Rocky has done this type of stock swapping in the past. I would prefer to see management do a stock offering. At least real money would be coming into the company.
