TO: ADOT Shareholders

I spoke this morning with their IR person, Art Perham. He was in New
Mexico last week and visited with management of the aero-space company
that ADOT is supposed to acquire. He said they were, "pleased with
the way negotiations were going," and he expected the deal to be
completed successfully, although he was reluctant to put this is any
time context, but said it could possibly happen in October. Read
possibly NOT, IMO. In any event, he felt that it would eventually
get done.

He said ADOT was on schedule with their two units, one of which will be
finished in December and the other in January 1998. Both have met the
inspections at appropriate stages of production. After production is
completed, ADOT projects they can have the units installed and working
in about 3 weeks. One unit will be installed in Texas and the other
in Florida. The purchaser is apparently a retail firm which will use
the boards for their own advertising, rather than a bill board company
which would display advertising content for others.

He felt the next three months will be very exciting for ADOT, as the
units will be their best advertising, and he expected they will
generate a great deal of interest in this new product. He declined to
project a share price at that time, saying that was not their role.
