--Prior to Jan. 26, the company was not a public reporting
entity and there were no shares outstanding for the purpose of
earnings (loss) per share calculations for the year-ago
quarter.

--The maker of wireless transmission equipment said
excluding certain items, net income in the year-ago quarter was
$10.3 million.

--The company said the net loss included $23.9 million in
pre-tax charges associated with merger transaction, integration
and stock compensation expense.
