I believe the Board of Directors can either recommend approval for sale or recommend against sale to any particular firm. In the end it is the shareholders which approve a sale or reject it when the company is publicly held. It would take a pretty big premium (like say a multiple of 10 times current market) for me to sell to those schmucks.

But in the end it is not always the highest bidder, it is the buyer who is ultimately approved by a vote of the shareholders, regardless of the price.
