From the "Merger Proposal" under "summary Compensation Table", I see that management rewarded themselves for failure to the tune of about 5 million for the top 5 people in 06. For a biotech of this size and for failure I find such compensation almost criminal (they're not living in San Diego for goodness sake). Granted the amount is skewed a little by the over 2 million paid to terminate Johnston - still? These guys use to this kind of treatment demonstrates a BOD that is either asleep or is not performing their fiduciary duty but is instead complicit.

In the compensation table for the 8 directors, they were all given(?) between 50,000 and 100,000 each "stock grants" in "lieu of receiving annual cash retainers from june 2006 to June 2008. What? 2008! Is this normal? This is in addition to the shares listed in the "Director Compensation Table".
