Messrs J. Wade, C.G. Pitcher and J.A. Hansuld report
World Wide Minerals, Kazakstan Goldfields and Central Asia Goldfields have
agreed to cancel the proposed business combination of World Wide and
Kazakstan Goldfields. In addition, World Wide will not purchase the stake in
Kazakstan Goldfields held by Central Asia Goldfields, or that company's interest
in the Gold Pool JV.
World Wide is engaged in uranium mining, processing and marketing from the
Kazakstan operations of its 95% subsidiary, KazUran Corp, and in gold
exploration in China and the US. Kazakstan Goldfields, through Gold Pool,
operates three gold mines in Kazakstan and conducts gold exploration in that
country.
The strategy that had spawned the proposal for the business combination was to
establish a larger critical mass in Kazakstan so as to maximize the opportunities
presented to both World Wide and Kazakstan Goldfields. Both companies have
agreed to explore methods of exploiting the synergies between them without
proceeding with a full business combination. World Wide operates a large electric
power station which has surplus capacity which could provide sustainable electric
power to the Gold Pool gold mining operation. World Wide has a gold refinery
capable of being modified to process Gold Pool's future dore gold production.
Kazakstan Goldfields would finance any modifications required to process its
