The offer at Oct is as stated, but at that time Sulliden stock price had just dropped significantly and CMM stock price had just increased significantly. Since then CMM price is down 35% and Sulliden is up significantly. So the current truth is that the offer is lower than the current Sulliden cash stock price. IMO Sulliden shareholders would be insane to accept it as offered unless there is imminent threat if Sulliden losing the court case. If that was the case I would hope that CMM would not be making the offer at this level.
