7-Dec-2007 Amendments to Articles of Inc. or Bylaws; Change in Fiscal Year, Financial Statemen Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On December 6, 2007, the Board of Directors of Acusphere, Inc., a Delaware corporation (the "Company"), approved amendments to the Amended and Restated By-Laws of the Company to allow for the issuance and transfer of uncertificated shares of the Company. These amendments are effective as of December 6, 2007. The purpose for these amendments is to ensure that the Company could become eligible to participate in a Direct Registration Program, as required by NASDAQ Rule 4350. A copy of the Certificate of Amendment to the Company's Amended and Restated By-Laws is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
