Jim. you also have to account for warrants and options and the reserve that will be set up in case that TPG's earnings fall short.
The numbers that I have are:
12.7 mil. shares of LUNN as of 6-6-97 + 1.8 mil. on exercise of options and warrants.
475,000 TPG shares as 0f 6-6-98 + 25,000 options.

TPG will end up being 74% of Newco.
