National Data to acquire Physician

ATLANTA, Oct 14 (Reuters) - National Data Corp said Tuesday that it had definitively agreed to acquire Physician Support
Systems Inc.

NDC said share of PHSS stock will be exchanged for .435 shares of NDC stock, subject to adjustment. The value of the
NDC stock to be issued will be about $176 million based on NDC's closing price of $41.6875 per share on October 14.

The merger will be accounted for as a pooling-of-interests and is expected to close by the end of January 1998.

NDC, a provider of information services and systems for the health care and payment systems markets, said the acquisition
of PHSS extends its existing health care financial services business.

Physician Support provides business management services to physicians and hospitals in 29 states. Its revenues for the first
six months of its current fiscal year were at an annualized rate of $106 million.

NDC said it expects PHSS to be accretive on a run-rate basis within six months of closing the deal.

''This transaction positions PHSS to accelerate its growth through access to NDC's core technologies and expansion of its
range of value-added services,'' an NDC company statement said.
