I guess the first most important thing to do is to make sure everyone is speaking the same language. I never realized how many abbreviations/terms/slangs that I use all the time. I remember how confused they made me in the beginning and apologize for not clarifying sooner. I may be wrong on a few of these so please feel free to correct me. I don't know who taught me each one of these, but I do know I made a few of them up for lack of a better term. Hope this helps, and please keep leaving them on the thread, because it's going to be a work in progress.

Abbreviations & Definitions

BDC Business Development Company - publicly-traded equity funds where shareholders and financial institutions provide capital in a regulated environment for investment in a pool of long-term, small and middle-market companies through the use of senior debt, mezzanine financing, and equity funding.

Shell - (SEC Definition)We propose to define a "shell company" as a company with no or nominal operations, and with no or nominal assets or assets consisting solely of cash and cash equivalents. (Shell companies usually cost between 125 to 250k....just in case you want one)

SS Share Structure - the various amounts of the A/S,
O/S, and restricted shares.

A/S Authorized Shares - most shares a company can issue.

O/S Outstanding Shares - shares already available on the free trading market.

Restricted Shares - shares that held apart from the market and have stipulations to when they could be sold.

Float - the supply of a stock(the O/S minus the restricted shares).

TA Transfer Agent (& Registrar) - All stocks listed on stock exchanges are required to have a registrar and transfer office. The entire stock of the corporation is registered at the registrar's office and then deposited with the transfer agent. The registrar acts as a check on the transfer office, and combined with the fact that no corporation whose stock is listed can act as its own transfer agent, eliminates the danger of over-issuance, as well as counterfeiting. Such offices also enable a holder of a stock to have it transferred quickly and efficiently.

T/A Technical Analysis - crunching the numbers.

R/S Reverse Split - it reduces the number of shares in existence and increases the par value of each remaining individual share.

Pink - pinksheet stock - The Pink Sheets is a privately owned company, while NASDAQ operates the OTCBB. Unlike the OTCBB, issuers do not have to be fully reporting companies with the Securities and Exchange Commission (SEC) to be quoted on the Pink Sheets. The Pink Sheets' OTC Dealer provides market makers with dynamic tickers and quote montages and an electronic trade negotiation system, while the OTCBB does not provide this functionality. (I only consider it a pinksheet when I go to pinksheets.com it's says "Primary Venue: Pink Sheets".)

Flamingo - pinksheet stock(the bird is pink).

Transparent Flamingo - a pinksheet company that the entire share structure can be obtained via current report and/or their transfer agent...preferably both.

Dirty Bird - a pinksheet stock that the share structure data is hidden.

Dancing With The Dragon - taking a position with a dirty bird in hopes of coming out on top.

Dilution - stock dilution is the issuance of new stock by a company, for any purpose. Some purposes are bad for outside shareholders (that's you and me). Some are neutral. Believe it or not, some are actually good. We're going to look at all three scenarios here, keeping things simple and laying it out for you straight.

"the promise" - the hook in a pinksheet stock that tries to drag us in...Bird Flu, Miners, Best of ***.

MoMo - momentum mover - stock that moves from press releases.

PR - press release

Pump and Dump - technique used to sell shares by releasing a PR and then selling shares.

CEO - Chief Executive Officer

CFO - Chief Financial Officer

IR - Investor relations guy

DD - Due Diligence

PIPE - Private Investment in Public Equity
