Re: filling out the proxy...

My broker let me do it online. You can either:

- vote for all four "gentlemen" listed by checking the "For all nominees" circle
- vote against all four by checking the "Withhold all nominees" circle
- vote for some combination of the four by checking the "For all EXCEPT those selected below" circle and put a check in the box next to the names you DON'T want.

All four of these guys were selected in one way or another by Walther, if you want them all out you would check "WITHOLD all nominees".

The other item (#2) on the proxy is to approve the "independent" accounting firm. I personally am voting AGAINST these guys as well, anyone picked by Walther is tainted, IMO.

If you can't do it online, you need to mail the form.

Based on the 10Q, they most likely have enough backers to vote for them so they will probably be approved. Although the vote tally listed in the 10Q for the 117 shareholders supporting them is currently less than 50% of the diluted O/S (299M), something tells me a lot of those new shares will wind up on their side.
