Yes, thats correct. The conversion price is fixed at $0.44, but the timing of the conversion is up to the holders. They can can convert any time they want, except that the conversion is automatic if the share price exceeds $1.10 for 15 consecutive trading days. Terms that allow the company to force conversion into common shares (and stop paying the dividend) if the share price escalates are pretty standard for this type of deal. Sometimes the holders will elect to convert earlier if they want to lock in a gain.

Conclusion:
IT IS NOT A DEATH SPIRAL YET.
