The following is an excerpt from Qualcomm's 8/8/95 prospectus for its secondary offering of stock:

"In December 1994, the Company and Northern Telecom entered into a series of definitive agreements for the design, development, manufacture and sale of CDMA network equipment. Under these agreements, Northern Telecom has committed to purchase from Qualcomm a percentage of Northern Telecom's worldwide sales of CDMA infrastructure equipment."
