Alternatively Tosh can take a stake (newly issued shares?) to get semipermanent access to Spansion's IP.

Or, if Toshiba doesn't want to spend (significant amount of) money upfront, they can just become a licensee. But I guess, Toshiba would prefer to have some exclusive rights...
