wso2: It depends on what stock is used for the acquisition.

There are ways to acquire a company without a lot of cash. ACII could be using a lot of PREFERRED STOCK here (we don't know). We know they only have about 400M common shares left to issue before they run out (again!). The end result is the new company will be 50% owners of ACII, and they will have 50% of the seats on the BoD, which IMO is huge - they could stop the uncontrolled dilution that has occurred here over the past few years. If they truly have profits, that could help immensely. The real question is what cost is the acquisition being made to the current shareholders - we don't know!

You also have to wonder WHY Kotsonis would accept only 50% of KSI to forgive the full $2.6M debt - what else did he get (or is he EXPECTING)? If you recall, he sold KSI because he was retiring, now a few years later he's coming out of retirement to run the shop again? Strange..... Looks like Marc really screwed him over, maybe he had no choice because if ACII went down the tubes, he was SOL.
