If they start their own company, they won't get the guaranteed salary, bonuses, or a golden parachute if it fails. The guaranteed salary, bonuses, and golden parachutes are part of how you pay them more. The point isn't that you have to give them a salary as high as they would otherwise earn or think they would earn, but that you would have to pay them a risk adjusted net total compensation that was as large or larger.
