I don't think that Seagate is an "enemy" of Sandisk's management. If they do in fact make a bid, it won't be a hostile one. Both parties would agree that it would be in both of their self interests.

Don't forget that Sandisk's business is a capital intensive one, unless they just want to collect royalties. Seagate has a lot of experience with that, and lot of cash to invest. Sandisk is going against some pretty heavy competition with very deep pockets.
