JOINT NEWS RELEASE

U.S. OIL & GAS INC.
("U.S. OIL")
ZEUS ENERGY CORP.
("ZEUS")

The meeting to approve the Amalgamation Agreement pursuant
to which U.S. OIL and Zeus have agreed to amalgamate were held
October 21, 1997 and shareholder approval was given by both companies.

Subject to approval of the Supreme Court of British Columbia
and the Registar of Companies being received, it is proposed
that the amalgamation will become effective in earl November
1997, the amalgamation company being known as "U.S.OIL and
Gas Resource Inc".
