Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers. On December 28, 2008 the Board of Directors of AmeriChip International, Inc. enacted through resolution the following changes with regard to the executive management of the company: 1. William P. Conlin relinquished his role as Chief Executive Officer of the Company while retaining his position as Chairman of the Board. 2. Drew Mouton has relinquished his role as Vice-Chairman of the Board and has accepted the positions of President and Chief Executive Officer of the Company. 3. The resignation of Kenneth W Mann as President and Director of AmeriChip Canada Inc. and as a Director of AmeriChip International Inc. was accepted by the Board of Directors of the Company.
