Harbinger to buy Premenos in stock deal

ATLANTA, Ga., Oct 23 (Reuters) - Harbinger Corp said on Thursday that it had signed a definitive agreement to buy Premenos Corp in a deal that will translate into a $20 to $30 million charge in the fourth quarter.

Harbinger anticipated the deal will be accretive to its shareholders in 1998, however.

Harbinger said it would issue 0.45 shares of its common stock for each share of Pemenos, a company that provides electronic commerce software products.

The transaction, which will be accounted for as a pooling of interests, is expected to close on or before Dec 31, 1997.

Harbinger provides electronic commerce software and network services.
