Gotta agree with you about the cash: there's something wrong
with this picture. LSCP must have known its cash was receding
when it made the April announcement. Now, it was positive from
the year before: were they being too optimistic at the time?

Is it expecting an infusion from this merger? What is the
cash position of HME?

Dilution: of earnings per share, yes, that's going to be a
problem. Per share earnings, fully diluted, can go to negative
at the level they're at now.

HSI gets 3 out of 7 directors? This is new to me. My reading
of the original material was a full buyout. I'm getting confused
as to what's going on here. As for "good or bad," can't find
fault with such a sweeping statement! In general, I have a
great deal of respect for German management. We shall see.

Synergy: on this one, I am completely thrown out of the boat.
And everything that you mentioned up to this point has been
pushing oars out of the water. Your question is mine, exactly.
"What has that got to do with lasers?"

HME was originally a strategic partner in trade, pushing LSCP
equipment on the european market. Just exactly what business
will LaserScope be in when this merger is finished?

Two ways that this information is different than the original
news:

"On April 24, 1996, Laserscope announced that it signed a
definitive agreement to acquire Heraeus Surgical Inc.
Heraeus Surgical manufactures LaserSonics CO2 lasers, a product
line which has complementary applications in other areas of the aesthetics and dermatology markets."

First, that was a report of a buy out, not a merger.

Second, HSI is a *manufacturer* of CO2 lasers.

I find it hard to believe that the "Hme" in your reports
and the HSI in the public news and filed with SEC are different
companies, but is that the case? And if so, was the report
about HSI being a buyout of of laser manufacturer just dead
wrong?

After some preliminary re-research:

HSI is a California company. We're not talking about the same
merger. Are we talking about LSCP's German partner in
distribution?

I'd like to see is some public information on this, so we're
discussing the effects of this transaction from a level playing
field. I don't have stockholder reports, so I'm going on
anything that's been published on the internet.

Let me know if you can find anything regarding LSCP's intentions
from a public document, OK? And thanks for summarizing the
details of the merger.
