If they follow the law, that is true. There are BB companies that say one thing and do another, even in their filings. If caught they pay, but by then it is too late for the shareholders.

Also, at one time it was mentioned that Morgan and Breton would not be running the new company, as ex-employees, would their shares still be restricted? I don't have the answers.
