Maybe I don't know all the details of the allegations against Cuban, but it sounds like this is a BS case by the SEC that is tenuous in it's merit.

So they spend all this effort on a unprecedented case when they should be spending the majority of their time on enforcing the numerous and blatant violations of Securities Law.

Personally speaking, he was under ORAL AGREEMENT not to mention the placement to anyone (hearsay?), but no one advised him of his status as an "insider" so the SEC will have to prove "scienter".

I don't know.. But if that private placement was priced under the current market value of the stock and they come to me with an offer to participate and I feel they are causing harm to my current stake in the company, I shouldn't be denied the right to exercise my displeasure by selling my shares.

As an insider he would have been required to file a 13-D/13-G. If he didn't file, then they really don't have a case unless they prosecute for NOT initially filing that form and declaring his stakeholdership.
