The Reg.S filings does not give the "wrong impression" but sends the following message, for this filing or any Reg.S filing. The company was unable to find a strategic buyer or permanent financing and as a last resort turned to "opportunistic" buyers. These buyers are not investors and have a built in advantage that all would dream of... a 20% head start. They will not let that edge evaporate by taking the risk of "investing". They will "sell the news" if they have not started to sell already.
